These Terms and Conditions (“Terms”) govern your access to and use of the website www.terracore.ae (the “Website”), and any related products, services, consultations, installations, and communications provided by Terracore Engineering Services LLC (“Terracore”, “we”, “us”, “our”). By accessing the Website, submitting an enquiry, or engaging us for any service, you (“you”, “Client”) agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.
1. About Us
Terracore Engineering Services LLC is a sustainable energy solutions company licensed and operating in the United Arab Emirates. We design, supply, install, and maintain renewable energy and smart-building systems including, without limitation, solar PV installations, battery energy storage systems, EV charging infrastructure, HVAC and climate control, high-efficiency LED lighting, smart automation, and energy consulting services for residential, commercial, industrial, and real estate development clients.

2. Eligibility and Acceptance
By using the Website or engaging our services, you confirm that you are at least 18 years of age and legally capable of entering into a binding contract under the laws of the United Arab Emirates. Where you act on behalf of a company, developer, or other legal entity, you confirm that you have the authority to bind that entity to these Terms.
3. Use of the Website
You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Website. You may not:
attempt to gain unauthorised access to the Website, its servers, or any connected database;
use any automated system, software, or scraping tool to extract data from the Website;
introduce viruses, malware, or any other harmful code;

4. Enquiries, Quotations, and Service Engagement
Submitting a form, requesting a quotation, or otherwise contacting us through the Website does not constitute a binding contract. Any quotation issued by Terracore Engineering Services LLC is:
valid for the period stated on the quotation (or, if no period is stated, for thirty (30) days from the date of issue);
based on the information you have provided and the conditions assumed at the time of survey or assessment;
subject to a separate written agreement, scope of works, or proposal, which together with these Terms shall govern the provision of services.
A binding contract is formed only when Terracore Engineering Services LLC issues a written acceptance, signed proposal, or commencement notice, and any required deposit or payment has been received.
5. Site Surveys, Design, and Installation
Where our services involve site assessments, design, supply, or installation works at your premises:
you warrant that you are the owner of the premises or have obtained all necessary permissions, consents, and approvals (including from landlords, owners’ associations, developers, and authorities such as DEWA, ADDC, SEWA, FEWA, EWEC, the relevant municipality, or other competent UAE regulators) to allow Terracore Engineering Services LLC to carry out the works;
you will provide safe, timely, and unobstructed access to the site, together with reasonable utilities (power, water) required to perform the works;
you are responsible for the accuracy of any information, drawings, measurements, or specifications you supply;
variations to the agreed scope of works may result in adjustments to price, timelines, or specifications, and will be confirmed in writing.
Estimated timelines for design, supply, or installation are provided in good faith but are not guaranteed and may be affected by factors outside our reasonable control, including regulatory approvals, utility connections, supply chain conditions, and weather.
6. Products, Equipment, and Third-Party Manufacturers
Terracore Engineering Services LLC supplies products manufactured by third parties, including but not limited to our partner brands. The performance, technical specifications, and any product warranties of such equipment are those provided by the original manufacturer. We will pass on the benefit of applicable manufacturer warranties to you where contractually permitted.
Product images, performance figures, energy savings projections, and case study examples shown on the Website are illustrative. Actual product appearance, output, savings, and return-on-investment will depend on site conditions, usage patterns, tariff structures, regulatory factors, and equipment selection, and may differ from indicative figures shown.
7. Pricing and Payment
All prices are quoted in United Arab Emirates Dirhams (AED) and are exclusive of Value Added Tax (VAT) unless expressly stated otherwise. VAT and any other applicable taxes, duties, or government fees will be added at the prevailing rate.
Payment terms, milestone schedules, deposits, and accepted payment methods will be set out in the relevant quotation, proposal, or contract. Unless otherwise agreed in writing:
a deposit may be required to confirm an order and commence design or procurement;
the remaining balance is payable in accordance with the agreed milestones;
late payments may attract interest at the maximum rate permitted under UAE law and may result in suspension of works.
Title in any goods supplied passes to you only upon receipt of full payment. Risk in goods passes to you upon delivery to the site.
8. Cancellations, Changes, and Refunds
If you wish to cancel or change an order after a binding contract has been formed, please notify us in writing as soon as possible. Cancellations may be subject to:
charges for design, engineering, or consultancy work already performed;
the cost of any goods already ordered, manufactured, or shipped on your behalf;
restocking, handling, or cancellation fees imposed by suppliers.
Refunds, where applicable, will be processed to the original payment method within a reasonable period after deductions have been calculated and agreed.
9. Warranties and Maintenance
Workmanship on installation services is warranted as set out in the relevant signed contract. Equipment warranties are those provided by the respective manufacturers. Warranty claims must be raised in writing and supported by reasonable evidence.
Warranties do not cover damage or failure resulting from:
misuse, neglect, unauthorised modification, or repair by third parties;
use of incompatible equipment, software, or accessories not supplied or approved by Terracore Engineering Services LLC;
power surges, lightning, flooding, fire, sandstorms, or other events outside normal operating conditions;
failure to perform recommended preventive maintenance;
changes to building structure, electrical infrastructure, or grid conditions after installation.
Optional maintenance, monitoring, or service contracts are available separately and are governed by their own terms.
10. Intellectual Property
All content on the Website — including the Terracore name, logo, designs, text, graphics, images, photographs, videos, software, system designs, proposals, and technical drawings — is owned by or licensed to Terracore Engineering Services LLC and is protected by applicable UAE and international intellectual property laws.
You may view and download content from the Website solely for your personal, non-commercial reference. You may not reproduce, distribute, modify, publish, or use any content for commercial purposes without our prior written consent. Submitting an enquiry or engaging our services does not transfer any intellectual property rights in our designs, proposals, or methodologies to you.
11. Privacy and Data Protection
Any personal data you submit through the Website or in the course of engaging our services is processed in accordance with our Privacy Policy and applicable UAE data protection laws, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. 14. Limitation of Liability
To the maximum extent permitted by UAE law, Terracore Engineering Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunity, savings, data, or goodwill, arising out of or in connection with your use of the Website or our services.
In all cases, the total aggregate liability of Terracore Engineering Services LLC arising under or in connection with a particular contract shall be limited to the total amount actually paid by you under that contract during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
15. Force Majeure
Terracore Engineering Services LLC shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, severe weather, pandemics, war, civil unrest, government action, regulatory changes, utility outages, supply chain disruptions, shipping delays, fire, or strikes.
16. Indemnity
You agree to indemnify and hold harmless Terracore Engineering Services LLC, its directors, employees, agents, and subcontractors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from:
your breach of these Terms;
your misuse of the Website;
any inaccurate or misleading information you have provided;
your failure to obtain required permissions or approvals for works at your premises.

18. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai, to the extent applicable. The courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction to settle any such dispute or claim, save where a separate written contract between Terracore Engineering Services LLC and the Client specifies an alternative dispute resolution mechanism (such as arbitration), in which case that mechanism shall prevail.
19. Severability
If any provision of these Terms is found by a competent court to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
